SETTLEMENT AGREEMENT

This settlement agreement (the "Agreement") is entered into as of the date of the last signatory ("Effective Date"), among the plaintiffs and class representatives, Michael J. McShea and Tariq Mangum;[a] defendants, the City of Philadelphia (the "City"), and Margaret M. Tartaglione, Anthony Clark, and Joseph Duda, in their official capacities as Philadelphia City Commissioners (collectively with the City, the "City Defendants"); and defendants, the Pennsylvania Department of State and Pedro A. Cortés, in his official capacity as Secretary of the Commonwealth (collectively, the "Commonwealth Defendants"). Plaintiffs, the City Defendants and the Commonwealth Defendants (together, the "Parties") are Parties to the litigation captioned, or otherwise referred to, as Kerrigan, et al. v. The City of Philadelphia, et al., C.A. No. 07-00687 (E.D. Pa.), which was filed in the United States District Court for the Eastern District of Pennsylvania on February 21, 2007 (the "Litigation").

RECITALS

WHEREAS, plaintiffs have brought an action, claiming violations of Title II of the Americans with Disabilities Act of 1990 ("ADA"), 42 U.S.C. §§ 12131-12134; Section 504 of the Rehabilitation Act of 1973, 29 U.S.C.§ 794; and the Voting Accessibility for the Elderly and Handicapped Act, 42 U.S.C. §§ 1973ee-1 et seq.;

WHEREAS, the Court on March 13, 2008, certified the Litigation as a class action for a class consisting of all eligible Philadelphia County voters with mobility disabilities who either became eligible to vote or developed a mobility disability after October 22, 2001 (the "Class");

WHEREAS, the City Defendants deny all material allegations of the Amended Complaint;

WHEREAS, the motion to dismiss of the Commonwealth Defendants is pending as of the Effective Date and the Commonwealth Defendants would deny all material allegations of the Amended Complaint;

WHEREAS the City Defendants and the plaintiffs opposed the Commonwealth Defendants' motion to dismiss; and

WHEREAS, the Parties desire to settle the Litigation so as to allow future elections to proceed without further legal proceedings other than those permitted by this Agreement.

TERMS OF SETTLEMENT

NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, good and valuable consideration, the receipt and sufficiency of which is acknowledged, the Parties, intending to be legally bound, enter into this Agreement:

I.              APPOINTMENT OF THIRD PARTY

A.        Within 30 days of the Effective Date or as soon as practicable, the Magistrate Judge (the Hon. Timothy Rice or such other magistrate judge as selected by the Court) will select a third-party architectural/engineering firm, or other qualified professional (the "Private Third Party") with demonstrated experience with the ADA Accessibility Guidelines. The Magistrate Judge may, but need not, consider potential Private Third Parties suggested by the Parties.

1.         Before appointment, the Private Third Party will submit documentation to verify that the Private Third Party's firm maintains errors and omissions liability insurance.

2.         The Private Third Party will be independent of any third-party architectural and/or engineering firm and/or consultant who has previously performed work for any of the Parties or counsel in this matter, unless that prior work is disclosed and any objection is waived in writing by the Parties.

3.         The Parties (or their representatives) will have an opportunity to review the proposal(s) submitted by potential Private Third Parties and to meet the Private Third Party the Magistrate Judge selects before he or she is appointed.

4.        The Parties will be provided a copy of any agreement with the Private Third Party.

5.         The cost of the Private Third Party's services will not exceed $500,000, unless the Private Third Party petitions the Magistrate Judge and can show good cause to allow additional expenditures. The Magistrate Judge will seek proposals and will select the lowest qualified bid.

B.         The Parties agree that the United States Department of Justice ("DOJ") also will act as a third party as set forth below and as set forth in a separate settlement agreement between the City Defendants and DOJ.

II.           SURVEYS AND REPORTS BY THIRD Parties

A.       The Private Third Party and DOJ will use the survey instrument attached as Exhibit A ("survey Instrument") to evaluate polling places as set forth in this Agreement.

B.        The Private Third Party and DOJ each will survey one half of the polling places listed on Exhibit B.[b] DOJ also will survey the polling places listed on Exhibit C.[c]

C.        DOJ will train the Private Third Party on using the Survey Instrument and will work closely with the Private Third Party to facilitate consistency in the evaluation of the polling places, recommendations and in the format of the reports described in Paragraph II. G below. To the extent reasonable, the Private Third Party will attempt to obtain data regarding the numbers of persons with mobility disabilities and the numbers of individuals who are 65 years or older in the City or regions of the City being reviewed. Failure to collect this data has no effect on the Parties, rights and obligations under this Agreement.

D.        Immediately after DOJ enters into its settlement agreement with the City Defendants pursuant to Paragraph VII.D, the Private Third Party and DOJ each will begin conducting surveys.

1.         Surveys will not be conducted during a period from 21 days before any election day through 21 days after any election day ("survey Blackout Period") (i.e., no surveys or evaluations will be conducted at the polling place locations during this timeframe, with the exception of the surveys conducted under Paragraph II.E).

2.         The Private Third Party will conduct surveys for no fewer than 120 polling places every two months ("survey Period"). The required number of surveys the Private Third Party must conduct during the Survey Periods in which election days fall will be pro-rated based on the total number of days during the Survey Period that are not within a Survey Blackout Period. (For example, if a Survey Period began April 1, 2009, and the election was scheduled for May 19, 2009, a Survey Blackout Period would begin on April 29, 2009. This would reduce the number of days the Private Third Party could conduct surveys to only 29 of the 61 days in the Survey Period, or 48 percent. Accordingly, the Private Third Party would be required to conduct 58 surveys, or 48 percent, of the 120 otherwise required surveys.)

3.         DOJ will conduct as many surveys as practicable with the goal of conducting surveys for no fewer than 120 polling places every Survey Period. The goal of 120 surveys in a Survey Period is suspended during the Survey Periods in which election days fall.

E.        During the May 19, 2009, election and the November 3, 2009, election and, if necessary, the primary election in the spring of 2010, the Private Third Party and DOJ will evaluate further those polling place locations previously surveyed pursuant to Paragraph II.D that were found to be inaccessible but the City Defendants have designated as accessible on election day (i.e., polling places listed on Exhibit B) and not previously found to be accessible by DOJ or the Private Third Party.

F.         Within 20 days after the end of each Survey Period, the Private Third Party and DOJ each will provide counsel for the City Defendants and plaintiffs' counsel with copies of all Survey Instruments completed during the previous Survey Period.

G.        Within 30 days of the end of each Survey Period, the Private Third Party and DOJ each will report to the Magistrate Judge, the City Defendants and plaintiffs' counsel in writing, the results of the surveys completed pursuant to Paragraphs II.D and E. Each report will include:

1.         Whether each surveyed polling place can reasonably be temporarily modified to be accessible on election day.

(a)        If the Private Third Party or DOJ determines that any surveyed polling place can reasonably be temporarily modified, it will identify what temporary modifications can be made and how. The Private Third Party and DOJ will consider whether any of the following temporary modifications will resolve any accessibility issues: (i) six-foot portable ramps, (ii) threshold ramps and (iii) re-designating alternative entrances as exclusive entrances to the polling places. If none of the above temporary modifications will resolve a polling place's accessibility issues, the Private Third Party and DOJ may recommend other temporary modifications.

(b)       If the Private Third Party or DOJ determines that the alternative entrance to a polling place cannot be re-designated as the exclusive entrance to the polling place, or that any surveyed polling place cannot be temporarily modified, it will explain why.

2.         If the polling place is located in a publicly owned building, whether it is reasonable to permanently modify any inaccessible polling place to make it accessible and how such modifications would be made.

3.         If a surveyed polling place cannot reasonably be modified temporarily, whether it can reasonably be relocated to a building that is accessible or can reasonably be made temporarily accessible on election day, and the specific location(s) it recommends as the relocation site.

(a)        In determining whether a polling place can reasonably be relocated, the Private Third Party and DOJ will use the following criteria: (i) the proposed relocation site must be in the same division or an adjacent division; (ii) the proposed relocation site cannot be more than five city blocks from the furthest edge of the division; (iii) there are no significant dangers or obstacles that would preclude pedestrians from safely traveling to the proposed location, such as a park, river, or major road or highway that cannot be safely traversed; (iv) the building in which the polling place is proposed to be relocated is too small to accommodate a polling place or, if a polling division(s) is already located there, the building is not too small to accommodate an additional polling place; or (v) the location is unable to accommodate a polling place for mechanical or other physical or operational reasons.

(b)       When making contact for the first time with any person regarding a prospective privately owned polling place location, DOJ will provide to that person a copy of the notice attached as Exhibit D immediately upon initiating contact with the person.

(c)        If the Private Third Party or DOJ recommends a relocation site that is not accessible but can reasonably be made temporarily accessible on election day, the Private Third Party or DOJ also will identify what temporary modifications can be made and how.

4.         Whether a temporary sign should be posted on election day to direct voters with disabilities to an alternate accessible entrance and where the sign should be posted.

H.        The Private Third Party will provide the DOJ with copies of all surveys and reports, in the same time frames as provided for in Paragraphs II.F and G, above.

I.         The Commonwealth Defendants, to assist the City with matters relating to polling place accessibility, will pay, as described in this Paragraph II.I, 50 percent of the costs for the Private Third Party, with funds other than Help America Vote Act funds allocated to the City, for all reasonable fees and costs incurred by the Third Party under this Agreement not to exceed $100,000. The City will pay the remaining costs incurred, up to $400,000 pursuant to Section I.A.5. The City will pay any additional costs that are allowed pursuant to Paragraph I.A.5. As soon as practicable on or before the Effective Date, the Commonwealth Defendants will pay $100,000 to the Court to hold in escrow pursuant to Paragraph IX.B. The City Defendants are not required to make any payments toward the costs for the Private Third Party or attorneys' fees and costs until $350,000 has been placed in escrow pursuant to Paragraph IX.B.

J.         The plaintiffs and City Defendants will cooperate fully with the Private Third Party and DOJ, including but not limited to, providing them with timely access to ward maps and other reasonably requested information.

K.       The process in Section II of this Agreement will cover elections up to and including the November 2012 election, which will be the last election covered by this Agreement.

III.         ACTIONS IN RESPONSE TO REPORTS

A.        Plaintiffs hereby request that the City Defendants implement all recommendations by the Private Third Party and DOJ made in each of the reports submitted pursuant to Paragraph II. G. After receiving a recommendation or recommendations, the City Defendants will notify plaintiffs' counsel within 45 days whether they grant the requested recommendation or will schedule a hearing regarding the particular request before the Philadelphia County Board of Elections (the "Board"), but City Defendants will not be required to make such decisions or notifications for more than 80 recommendations in a 45-day period. The City Defendants can seek an extension from the plaintiffs if additional time is necessary to determine whether they will grant a request or schedule a hearing and, if the plaintiffs decline, the City Defendants may seek an extension from the Magistrate Judge.

B.         If the plaintiffs disagree with the City Defendant's decision to schedule a hearing on a recommendation of the Private Third Party or DOJ, the plaintiffs and the City Defendants (or their representatives) will meet within 30 days of written notification of the City Defendants' decision to confer and to attempt to resolve the disagreement. Such meeting is a prerequisite for utilizing the dispute resolution provisions of Section IV of this Agreement.

C.        The City Defendants are not required to meet and confer or hold a hearing regarding permanent modifications to publicly owned buildings, or to implement any permanent modifications to publicly owned buildings, and the Magistrate will not have jurisdiction to hear challenges by plaintiffs regarding any such permanent modifications to publicly owned buildings. If the City Defendants decline to accept a recommendation of the Private Third Party or DOJ to make permanent modifications to a publicly owned building, they will be reasonably available to meet and discuss the reasons for the decision with plaintiffs' counsel.

D.        The City Defendants are not required to meet and confer or hold a hearing for recommendations by the Private Third Party or DOJ to relocate a polling place to a recommended facility, or to implement any such relocation, and the Magistrate will not have jurisdiction to hear challenges by plaintiffs regarding any such relocation, if the person or entity that owns or controls the recommended facility refuses to permit the City to use the facility as a polling place, provided, however, that within 45 days of receipt of the recommendations, the City Defendants will provide plaintiffs' counsel with the name(s) and contact information (address and phone number) of the person(s) who refused to permit use of the facility as a polling place.

E.         If the City Defendants and plaintiffs are unable to resolve the disagreement, the City Defendants will schedule a hearing before the Board on the disputed recommendation no later than 60 days after the plaintiffs and the City Defendants (or their representatives) meet to confer about the recommendation that is the subject of the hearing, provided that the City Defendants will not be required to hold hearings for more than 50 recommendations per month. If the number of recommendations for which the City Defendants are required to hold hearings exceeds 50 in a month, the City Defendants will continue to schedule hearings for 50 recommendations each month until all hearings have been conducted. The City Defendants can seek an extension from the plaintiffs if additional time is necessary and, if the plaintiffs decline, the City Defendants may seek an extension from the Magistrate Judge. The City Defendants are not required to schedule a hearing for recommendations to permanently modify a polling place.

F.        City Defendants will notify plaintiffs' counsel of the dates of any hearings scheduled pursuant to Paragraph III.E. All Parties will be allowed and are encouraged to present evidence on the record at any hearing conducted pursuant to Paragraph III.E. This includes plaintiffs, members of the community, DOJ, the Pennsylvania Department of State or any other appropriate party. Plaintiffs are not required to participate in these hearings or to present evidence and nonparticipation by plaintiffs will not limit or restrict in any way their right to pursue and to secure relief pursuant to the dispute resolution provisions of Section IV of this Agreement.

G.        The Board will issue a decision either on the record or in writing within 15 days after any hearing held pursuant to Paragraph III.E is concluded. The City Defendants will notify plaintiffs' counsel within seven days after the Board issues its decision.

H.        The City Defendants are not required to meet and confer or hold a hearing for temporary modifications suggested by the Private Third Party or DOJ, or to implement any such temporary modifications, and the Magistrate will not have jurisdiction to hear challenges by plaintiffs regarding any such temporary modifications, if the modifications: (1) are to a building that is not City-owned; (2) require the consent of and action by the non-City owner to implement, such as adjusting door closing mechanisms, modifying door handles, propping open doors, or relocating voting areas to an accessible interior space; and (3) the non-City owner refuses to allow implementation of the recommendation after the City Defendants request the non-City owner to do so and offer to pay reasonable costs of any temporary modifications. Provided, however, that if the non-City owner refuses to allow implementation of the recommendation for temporary modification, then (1) the City Defendants must notify DOJ or the Private Third Party, (2) DOJ or the Private Third Party must undertake a survey to determine if the polling place can be relocated and make recommendations concerning relocation in accordance with the criteria of Paragraph II.G.3; and (3) the City Defendants' actions in response to such recommendations and the plaintiffs' right to seek dispute resolution will be made in accordance with Sections III and IV.

I.          The City Defendants will not be required to take any action otherwise required by Section III during the period from 45 days before any election through 30 days after any election and this time period will not count toward the timeframes identified in Section III.

IV.          DISPUTE RESOLUTION

A.        Plaintiffs retain the right to challenge any decision of the Board to reject any recommendation of the Private Third Party or DOJ made pursuant to Paragraph III.G by filing a request for a hearing with the Magistrate Judge within 30 days of receipt of notice of the Board's decision and simultaneously serving a copy of the request upon the City Defendants. Upon receipt of the request for a hearing, the Magistrate Judge will schedule an evidentiary hearing as soon as practicable.

B.         The Magistrate Judge, following the evidentiary hearing, will issue a decision on whether the City Defendants must adopt the disputed recommendation based on whether the challenged polling places can reasonably be made temporarily accessible on election day or can reasonably be relocated to an accessible location within the division or an adjacent division, and, if raised by the City Defendants, whether the disputed recommendation would fundamentally alter the City's voting program or constitute an undue financial or administrative burden on the City pursuant to the ADA and applicable case law. The Parties disagree on the proper interpretation of the applicable law and are free to argue their respective interpretations to the Magistrate Judge, the District Court and/or the Court of Appeals. In considering whether the challenged recommendation would fundamentally alter the City's voting program, the City Defendants may present evidence of the effect of the challenged recommendation on all voters. The Federal Rules of Evidence will apply to such hearing. The hearing and decision by the Magistrate Judge will be de novo.

1.        The Magistrate Judge need not conclude that every polling place must be accessible.

2.         The Magistrate Judge will not find relocation reasonable if: (a) the proposed location is not in the same division or an adjacent division; (b) the proposed relocation site is more than five city blocks from the furthest edge of the division; (c) there are any significant dangers or obstacles that would preclude pedestrians from safely traveling to the proposed location, such as a park, river or major road or highway that cannot be safely traversed; (d) the building in which the polling place is proposed to be relocated is too small to accommodate a polling place or, if a polling division(s) is already located there, the building is too small to accommodate an additional polling place; (e) the building in which the polling place is proposed to be relocated cannot accommodate a polling place for mechanical or other physical or operational reasons; or (f) if the person or entity that owns or controls the recommended facility refuses to permit the City to use the facility as a polling place on terms reasonably set by the Board.

3.         The Magistrate Judge will not issue any order that must be carried out less than 45 days before any election.

4.         If the Board has made a decision that is a reasonable selection from among alternatives identified by the Private Third Party or DOJ, the Magistrate Judge will not substitute his judgment for the particular choice made by the Board.

5.         The Magistrate Judge will not order the City Defendants to implement a recommendation made by the Private Third Party or DOJ if the Board has agreed to adopt a different alternative that meets the standards otherwise established in this Agreement, which are not intended to impose standards greater than those defined in the ADA Accessible Guidelines, even if it has not been recommended by the Private Third Party or DOJ.

C.        No later than 14 days after the issuance of any decision by the Magistrate Judge pursuant to Paragraph IV.B, the City Defendants or the plaintiffs may appeal any such order to the District Court. The District Court, pursuant to Rule 72(a) of the Federal Rules of Civil Procedure, will reverse the decision of the Magistrate Judge only if it determines that the decision is clearly erroneous or contrary to law.

D.        Appeal from the District Court will be allowed as provided by law.

E.        The Parties acknowledge that they have put forth different legal interpretations of the federal laws litigated in this case. No party relinquishes its legal position regarding such interpretations. To the extent that this Agreement deals with an issue, then this Agreement controls the disposition of the issue. In any proceeding before the Magistrate Judge, the District Judge, or on appeal, to the extent that any term in this Agreement is not defined, then it shall be given its lawful meaning and the Parties will be free to continue to argue their respective interpretations of applicability of the respective federal laws to the particular issue.

V.            Implementation of Decisions

A.        Other than for the exceptions stated in Paragraph C below, during the term of this Agreement, the City Defendants will implement all recommendations of the Private Third Party or DOJ to which they agreed, except for recommendations for permanent modifications, see Paragraph III.C, beginning in the elections immediately subsequent to their agreement, unless: (1) the City Defendants agreed to the recommendation before they were required to notify plaintiffs' counsel pursuant to Paragraph III.A; (2) the City Defendants' agreement was made within 45 days before the next election, and (3) the City Defendants determine that it is in the City's best interest to implement the recommendation in the next subsequent election, in which case the recommendation will be implemented in the next subsequent election.

B.         Other than for the exceptions stated in Paragraph C below, the City Defendants also will implement all orders of the Magistrate Judge in the elections that take place after the orders are issued during the term of this Agreement unless they are appealed to the District Court, and will implement all orders of the District Court in the elections that take place after the orders are issued during the term of this Agreement unless they are appealed to the United States Court of Appeals for the Third Circuit. Nothing in this paragraph expands the authority of the Magistrate Judge to enter any order.

C.        The City Defendants are not required to implement a recommendation in a subsequent election as otherwise required by Paragraphs V.A and B above if recommended equipment, such as temporary ramps, has been ordered but will not arrive before the election following the recommendations, in which case the recommended equipment will be used beginning in the election following its receipt.

D.        If the City Defendants find that they cannot reasonably implement a previously agreed to recommendation, except for a recommendation for a permanent modification, see Paragraph III.C, the City Defendants will notify plaintiffs' counsel and, upon request, meet and confer with plaintiffs' counsel (or their representatives). If the City Defendants and plaintiffs' counsel are unable to agree, the City Defendants may petition the Magistrate Judge for relief from the applicable recommendation pursuant to Rule 60 of the Federal Rules of Civil Procedure, subject to appeal in the same manner as in Section IV of this Agreement. The City Defendants do not have to implement any recommendation from which they are seeking relief unless and until the Magistrate Judge, or if appealed, the District Court or the Court of Appeals, orders the City Defendants to do so.

E.        The City Defendants will be deemed to comply with any recommendation by the Private Third Party or DOJ to post temporary signs on election day to direct voters with disabilities to an alternate accessible entrance if the City Defendants: (1) cause temporary signs to be posted before election day; (2) instruct in poll worker training sessions that the signs must be posted; (3) provide additional signs for poll workers to post if the previously posted signs are no longer there on election day; and (4) instruct election day inspectors to check that the signs are posted on election day and, if they are not, to replace them.

VI.          Additional terms

A.          Selection of Future Polling Places

1.         When the City Defendants propose to select a new location for a polling division (either because the existing location becomes unavailable or for some other reason) up to and including the November 2012 election, they must complete the Survey Instrument to assess the accessibility of the proposed site.

2.         Beginning July 1, 2009, up to and including the November 2012 election, the City Defendants will notify plaintiffs' counsel and the Commonwealth Defendants when they select a new location for a polling division, including the address of the proposed location, the reason that a new location is necessary, and a copy of the completed Survey Instrument for the location.

3.         Within 14 days of receipt of a notification from the City Defendants pursuant to Paragraph VI.A.2 of this Agreement, plaintiffs can request that the new location proceed through the process described in Sections III and IV of this Agreement and it shall so proceed.

B.         Changes to the Alternative Ballot Process

1.         When the City orders new absentee/alternative ballot forms, the City Defendants will revise the alternative ballot application to make clear that individuals with disabilities who check the absentee ballot box will be required to submit their ballots by the Friday before the election, while those who check the alternative ballot box may vote until the close of polls on election day.

2.         Until the City prints new absentee/alternative ballot forms, the Board will include with each ballot form it hands or mails directly to a voter or agent of a voter a notice that makes clear that individuals with disabilities who check the absentee ballot box will be required to submit their ballots by the Friday before the election, while those who check the alternative ballot box may vote until the close of polls on election day.

C.        During the term of this Agreement, the Commonwealth Defendants will accept the Survey Instrument in lieu of the Polling Place Accessibility Survey Package, attached as Exhibit E, which the Commonwealth Defendants otherwise require county boards of elections to use when determining and documenting the accessibility of polling places. The Board will continue submitting completed annual certifications as to the number of voting divisions with accessible and inaccessible polling locations based upon the completed Survey Instruments.

VII.       PRELIMINARY AND FINAL APPROVAL

A.        Fairness, Reasonableness, and Adequacy. The Parties agree and acknowledge that the settlement memorialized by this Agreement is fair, reasonable, and adequate and that a settlement of the Litigation is in the best interests of all Parties.

B.         Preliminary Court Approval. Within 10 days of the Effective Date of this Agreement, plaintiffs will file a motion (the "Motion") and otherwise take all steps necessary to obtain the Court's preliminary approval of the settlement memorialized by this Agreement. Plaintiffs will provide the other Parties an opportunity to review and comment on the Motion before submitting it to the Court.

C.         Class Notice. Through the Motion, the plaintiffs shall move the Court to enter an order providing for notice to the class, the filing of objections, if any, to this Agreement; and the scheduling of a hearing to consider final approval of this Agreement. The City Defendants and the Commonwealth Defendants shall equally bear any and all expenses in providing class notice.

D.        Department of Justice Settlement Agreement. If DOJ does not enter into the settlement agreement attached as Exhibit F ("DOJ Settlement") within 90 days of the Effective Date, this Agreement will be null and void, the status quo of the Litigation as of November 1, 2008, will be reinstated and any monies deposited into the escrow account pursuant to Paragraph IX.B. will be returned to the Commonwealth within 15 days after the 90th day after the Effective Date.

E.         Effect of Lack of Approval of Settlement Agreement. If the Court does not approve the Agreement preliminarily or finally, all monies deposited into the escrow account pursuant to Paragraph IX.B. will be returned to the Commonwealth within 15 days of any order that relates to approval of the settlement in which Court does anything less than preliminarily or finally approve the Agreement.

VIII.     RELEASE

A.         Release of City Defendants. For and in consideration of the covenants and consideration contained in this Agreement, upon final approval of this Agreement by the District Court, plaintiffs and their attorneys, successors, heirs, executors, administrators, and assigns, on their own behalf and on behalf of the Class, and the Commonwealth Defendants and their attorneys, successors, heirs, executors, administrators, and assigns, hereby release, acquit and forever discharge the City Defendants from any and all claims, actions, demands, judgments, damages, liabilities or obligations, whether statutory or at common law, whether known or unknown, and regardless of whether asserted or if it could have been asserted, arising from and/or in any way related to the accessibility of Philadelphia's polling places, alternative or absentee ballots or voting machines to voters with mobility disabilities from the beginning of the world until and including March 31, 2013. This paragraph shall not in any way preclude the Parties from obtaining a hearing before the Magistrate Judge as set forth in Section IV of this Agreement, or otherwise seeking an order from the Court pursuant to Paragraph IX.D. below to enforce provisions of this Agreement.

B.        Release of Commonwealth Defendants. For and in consideration of the covenants and consideration contained in this Agreement, upon payment of the $350,000 into the escrow fund described in Paragraph IX.B, plaintiffs and their attorneys, successors, heirs, executors, administrators, and assigns, on their own behalf and on behalf of the Class, and the City Defendants and their attorneys, successors, heirs, executors, administrators, and assigns, hereby release, acquit and forever discharge the Commonwealth Defendants from any and all claims, actions, demands, judgments, damages, liabilities or obligations, whether statutory or at common law, whether known or unknown, and regardless of whether asserted or if it could have been asserted, arising from and/or in any way related to the accessibility of Philadelphia's polling places, alternative or absentee ballots or voting machines to voters with mobility disabilities from the beginning of the world until and including March 31, 2013. This paragraph shall not in any way preclude the Parties from obtaining a hearing before the Magistrate Judge as set forth in Section IV of this Agreement, or otherwise seeking an order from the Magistrate Judge to enforce provisions of this Agreement.

C.        Release of Plaintiffs. For and in consideration of the covenants and consideration contained in this Agreement, upon final approval of this Agreement by the District Court, the City Defendants and their attorneys, successors, heirs, executors, administrators, and assigns, and the Commonwealth Defendants and their attorneys, successors, heirs, executors, administrators, and assigns, hereby release, acquit and forever discharge the plaintiffs, individually and as representatives of the Class, from any and all claims, actions, demands, judgments, damages, liabilities or obligations, whether statutory or at common law, whether known or unknown, and regardless of whether asserted or if it could have been asserted, arising from and/or in any way related to the accessibility of Philadelphia's polling places, alternative or absentee ballots or voting machines to voters with mobility disabilities from the beginning of the world until and including March 31, 2013. This paragraph shall not in any way preclude the Parties from obtaining a hearing before the Magistrate Judge as set forth in Section IV of this Agreement, or otherwise seeking an order from the Magistrate Judge to enforce provisions of this Agreement.

IX.          MISCELLANEOUS PROVISIONS

A.        Attorneys' Fees, Litigation Expenses, and Costs. The City Defendants and Commonwealth Defendants will pay $360,000 as a total payment for attorneys' fees, litigation expenses, and costs up to and including the date of final approval of this Agreement. The Commonwealth Defendants will pay up to 50 percent of the total payment for attorneys' fees, litigation expenses and costs not to exceed $250,000, including any cost paid pursuant to Paragraph VII.C of this Agreement. The City Defendants and the Commonwealth Defendants will each pay $180,000 toward the $360,000, with the Commonwealth Defendants' share paid from the escrow account established in Paragraph IX.B of this Agreement. Nothing in this Agreement shall entitle plaintiffs to any attorneys' fees, litigation expense or costs incurred after the date of final approval of this Agreement by the Court. Plaintiffs will need to petition the Court if they seek payment for any such attorneys' fees, litigation expense or costs, provided, however, that: (1) the Commonwealth Defendants will not be liable for any attorneys' fees, litigation expenses or costs pursuant to such petition beyond the sum remaining in the escrow account established in Paragraph IX.B of this Agreement for fees, litigation expenses and costs; and the City Defendants will not be responsible for any fees, litigation expenses or costs incurred by the Commonwealth Defendants in its defense of any action or motion related to this Agreement, or for any attorneys' fees, litigation expenses or costs incurred by plaintiffs to prosecute an action or motion against the Commonwealth Defendants; and (2) the City Defendants and the Commonwealth Defendants reserve all of their defenses to any such petition.

B.        Commonwealth Defendants' Escrow Account. The Commonwealth Defendants will pay to the Court $350,000 to hold in escrow. The Court will establish within the escrow account two sub-accounts: (1) $100,000 will be placed in a sub-account for Private Third Party fees and costs pursuant to Paragraph II.I; (2) $250,000 will be placed in a sub-account for attorneys' fees, litigation expenses, costs and class notice pursuant to Paragraphs VII.C and IX.A. The Court will use the funds in the escrow account to pay the monies owed by the Commonwealth Defendants under this Agreement. The Private Third Party and the plaintiffs will be directed to submit documentation to the Court as a prerequisite for being paid. The Court will return any remaining funds to the Commonwealth Defendants by April 15, 2013. The Commonwealth Defendants will not be required to make any payment under this Agreement for any reason except as delineated in Paragraphs IX.A and B, and except that the City Defendants will not be required to pay or be liable for any judgment against the Commonwealth Defendants under this Agreement.

1.        The Court will provide the Parties copies of any invoices and back-up documentation to these invoices submitted by the Private Third Party.

2.         If a Party believes an invoice from the Private Third Party is unreasonable, the Party may submit to the Court an objection that explains why the Party feels the invoice is unreasonable. The Magistrate Judge will consider any objections made by the Parties when approving payment to the Private Third Party. Any decision by the Magistrate Judge is appealable to the District Court for abuse of discretion. Appeal from the District Court will be allowed as provided by law.

C.        Binding Effect. This Agreement shall be binding on all Parties, as well as their successors, only if the Agreement is approved by the Court; provided, however that, upon DOJ entering into the DOJ Settlement pursuant to Paragraph VII.D, the Parties shall comply with the terms set forth in this Agreement during the pendency of the Court's consideration of the Motion. If the Court denies final approval of the Agreement or final approval is overturned on appeal, the Litigation will be reinstated in the same procedural posture it was in at the time of the Agreement.

D.        Retention of Jurisdiction and Enforcement. The terms of this Agreement shall be subject to the full enforcement powers of the Court. The Court will retain jurisdiction over this Litigation for purposes of interpretation and enforcement of and compliance with this Agreement.

E.         Termination. This Agreement terminates on March 31, 2013, and any disputes, motions or appeals pending before the Magistrate Judge, the District Court, or the United States Court of Appeals for the Third Circuit will be moot as of this termination date.

F.         Disclaimer of Liability. By entering into this Agreement, plaintiffs do not concede the validity of any of the defenses that defendants have or could have raised, and defendants do not admit any liability to plaintiffs.

G.         Dismissal with Prejudice. In plaintiffs' Motion for Final Approval of this Agreement, the plaintiffs shall move the Court for an order dismissing the Amended Complaint with prejudice as set forth under the terms of this Agreement. Such dismissal shall constitute a dismissal with prejudice for all defendants and shall not affect the District Court's retention of jurisdiction concerning the interpretation and enforcement of, and compliance with this Agreement.

H.        Entire Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, negotiations, considerations, and representations between the Parties. No representations, understandings, or agreements have been made or relied on in entering this Agreement, other than those specifically set forth in this Agreement. This Agreement can be amended only by written instrument signed by the duly authorized representative(s) of each of the Parties.

The Parties acknowledge and agree that they have read this Agreement, that they understand its meaning and contents, that they have had the advice of their respective counsel, and that they have voluntarily entered into this Agreement, intending to be bound by it. Plaintiffs, the City Defendants and the Commonwealth Defendants represent and warrant to each other that the signatory executing this Agreement is authorized to bind and obligate them/it, which representation/warranty is being relied on by plaintiffs, the City Defendants and the Commonwealth Defendants in the acceptance of this Agreement.

McShea, Tariq Mangum, Renee Crosby, and Carolyn Davenport. The Court certified this as a class action, but it approved only plaintiffs Mangum and McShea as class representatives.
