The United States has filed this action to enforce provisions of the Americans with Disabilities Act (“ADA”) against Defendants American Multi-Cinema, Inc. and AMC Entertainment Inc. (collectively "AMC"). The United States has alleged that AMC’s stadium-style movie theaters do not comply with the Standards for Accessible Design of the ADA identified in 28 C.F.R. pt. 36, App. A. In response to the Court's Order of January 22, 2003, granting the United States' Motion for Partial Summary Judgment on Non-Line-of-Sight Issues,1 and finding that AMC has engaged in a pattern or practice of discrimination against the disabled in violation of Title III of the ADA, the United States and AMC present the following consent order and final judgment, resolving the United States’ complaint against AMC on all issues relating to non-line-of-sight deviations from the ADA Standards at all of AMC's stadium style movie theaters. 245 F. Supp.2d 1094 (C.D. Cal. 2003).


JURISDICTION


1. The Court has jurisdiction of this matter pursuant to 28 U.S.C. §§ 1331 and 1345, and 42 U.S.C. § 12188(b).

2. Pursuant to 42 U.S.C. § 12181(7)(C) and 28 C.F.R. § 36.104, motion picture houses are places of public accommodation. Stadium-style theaters, defined below, are therefore places of public accommodation within the meaning of 42 U.S.C. § 12181(7)(C) and 28 C.F.R. § 36.104. Stadium-style theaters are also commercial facilities within the meaning of 42 U.S.C. § 12181(2) and 28 C.F.R. § 36.104.

3. Defendants American Multi-Cinema, Inc. and AMC Entertainment Inc. (“AMC”), are corporations with their principal places of business located in Kansas City, Missouri. AMC owns and/or operates motion picture houses, including stadium-style theaters, in various states throughout the United States. AMC owns and/or operates public accommodations within the meaning of 42 U.S.C. § 12181(7)(C) and 28 C.F.R. § 36.104, and owns and/or operates a commercial facilities within the meaning of 42 U.S.C. § 12181(2) and 28 C.F.R. § 36.104.

4. The United States Department of Justice ("Department" or "DOJ") is the federal agency responsible for enforcing Title III of the Americans with Disabilities Act, 42 U.S.C. §§ 12188.

5. Pursuant to Title III of the ADA, all places of public accommodation and commercial facilities—including AMC’s stadium-style movie theaters—that were designed and constructed for first occupancy after January 26, 1993 must be readily accessible to and useable by persons with disabilities, by complying with the requirements set forth in the ADA Standards for Accessible Design, 28 C.F.R. pt. 36, Appendix A (the “ADA Standards”).

6. In 1997, the United States began receiving complaints from persons with disabilities regarding a new design of movie theaters across the country, including motion picture houses owned and/or operated by AMC. In these theaters, known as “stadium-style theaters,” most of the seating is elevated on a series of risers in the auditorium.

7. In response to complaints the United States received about alleged ADA violations at AMC stadium-style theaters, and pursuant to the Attorney General’s authority to conduct compliance reviews of covered entities, the United States conducted surveys of five (5) of AMC’s stadium-style theaters across the country, 42 U.S.C. § 12188(b)(1)(A)(i),2 to determine the extent to which these stadium-style theaters complied with the requirements of the ADA Standards. The United States concluded that these theaters did not fully comply with the ADA and ADA Standards.

8. The United States filed suit against AMC on January 29, 1999. Thereafter, the United States conducted detailed surveys of twelve (12) of AMC's stadium-style theaters,3 and determined that these theaters did not fully comply with the ADA and ADA Standards. In November 2002, the United States moved for partial summary judgment on these non-line-of-sight issues. The Court granted the United States' motion for partial summary judgment on January 22, 2003, holding that AMC has engaged in a pattern or practice of failing to comply with the ADA Standards in its stadium-style movie theaters. See 245 F. Supp.2d 1094 (C.D. Cal. 2003).

WHEREFORE, the parties hereby agree and stipulate to the Court's entry of this Consent Order and Final Judgment which resolves all issues relating to non-line-of-sight deviations from the ADA Standards at all of AMC's stadium-style movie theaters, and the Court's January 22, 2003 Order.

1. Partial Settlement of On-Going Litigation

1.1 The United States and Defendants American Multi-Cinema, Inc. and AMC Entertainment Inc. stipulate to the terms set forth herein and to entry of this Order, which shall be binding upon AMC and the United States, and shall resolve issues relating to non-line-of-sight deviations from the ADA Standards at all of AMC's stadium-style movie theaters.

1.2 This Order shall be a full, complete, and final disposition and settlement of all issues relating to non-line-of-sight deviations from the ADA Standards at all of AMC's stadium style movie theaters. The parties jointly request that the Court enter this Order.

1.3 The United States acknowledges that, when AMC has remedied the deviations from the ADA Standards as set forth in this Order, the appendix attached hereto, or as determined pursuant to paragraph 5 below, AMC's stadium-style movie theaters shall satisfy the United States' demands regarding compliance with the ADA Standards for all non-line-of-sight issues, and the United States shall not pursue further enforcement of the ADA or its regulations with respect to all issues relating to non-line-of-sight deviations from the ADA Standards at all of AMC's stadium-style movie theaters.

2. Definitions.

The parties agree and stipulate that certain terms shall be defined for purposes of this Consent Order:

2.1 “ADA” shall mean and refer to the Americans with Disabilities Act, 42 U.S.C. §§ 12101, et seq.

2.2 “ADA Standards” or “the Standards” shall mean and refer to the Standards for Accessible Design as set forth at 28 C.F.R. pt. 36, Appendix A.

2.3 “AMC” shall mean and refer to, collectively, American Multi-Cinema, Inc. (“AMCI”) and AMC Entertainment Inc. (“AMCE”).

2.4 “Auditorium” shall mean and refer to a room in a stadium-style theater that contains a single screen for the public exhibition of motion pictures and seating for members of the general public.

2.5 “Companion fixed seat”, for purposes of this Consent Order, shall mean and refer to a fixed seat within an auditorium, which is next to a wheelchair seating area.

2.6 “Consent Order” or the “Order” shall mean and refer to this Consent Order and Final Judgment, including all attached appendices.

2.7 “DOJ” or the “Department” shall mean and refer to the United States Department of Justice.

2.8 “Effective Date” of this Order shall mean and refer to the date that this Consent Order is entered as a final judgment by the United States District Court for the Central District of California.

2.9 “Existing Theaters” shall mean and refer to all of AMC’s stadium-style theaters that are open and operational on or before the effective date of this Order.4

2.10 “Future Theaters” shall mean and refer to all of AMC’s stadium-style theaters in the United States that AMC opens or acquires (other than an exhibitor with more than 25 stadium-style theaters in a single transaction) after the effective date of this Order.

2.11 “Wheelchair space,” for purposes of this Consent Order, shall mean or refer to a space in an auditorium from which a person who uses a wheelchair or motorized scooter can view a motion picture.

2.12 "Line-of-sight" refers to that portion of § 4.33.3 of the ADA Standards, which states that "[w]heelchair areas ... shall be provided so as to provide people with physical disabilities ... lines of sight comparable to those for members of the general public."

2.13 "Non-line-of-sight" refers to all provisions of the ADA Standards, except the line-of-sight provision, as defined above in paragraph 2.12.

3. Common Issues for Existing Stadium-Style Auditoriums

All of AMC’s stadium-style movie theaters must comply with the ADA and the ADA Standards, 28 C.F.R. pt. 36, Appendix A, including, but not limited to, the following:

3.1 Dimension and Level of Wheelchair Spaces - Each wheelchair space shall be level and comply with the space requirements set forth in § 4.33.2 of the Standards and the floor surface requirements as set forth in § 4.33.4 of the Standards.

3.2 Auditorium Ramps - AMC shall post signage designating the accessible routes into and/or within its auditoriums. The language of these signs and their locations shall be approved by the DOJ. The ramps identified in Appendix A and as determined pursuant to paragraph 5 are a part of these accessible routes and shall be brought into compliance with §§ 4.1.3(1), 4.3, 4.8.

3.3 Signage

3.3.1 All directional signage shall be kept free of obstructions, including promotional or advertising materials, and shall comply with §§ 4.1.3(16)(b), 4.30.1, 4.30.2, 4.30.3, 4.30.5. All signage designating permanent rooms such as auditoriums and toilet rooms shall comply with §§ 4.1.3(16)(a), 4.30.1, 4.30.4, 4.30.5, and 4.30.6 of the Standards. 3.3.2 Braille and raised letter signs designating permanent room numbers, shall be provided at all auditorium entrances on the wall adjacent to the latch side of the auditorium doors.

3.4 Barricades for Queuing
For all theaters that open after the effective date of this Order, and when necessary to replace existing barricades in Existing Theaters, AMC shall purchase barricades for queuing that have dual levels of tapes, ropes, or chains. AMC may continue to use existing barricades in Existing Theaters until those barricades need to be replaced.

3.5 Parking and Exterior Routes
Where AMC does not have control over areas outside the exterior envelope of the building, such as parking lot or walkways from the parking lot to the theater entrance, at a given theater by lease agreement or other contractual obligation, AMC shall notify the landlord or other responsible party in writing of the violations of the ADA that exist in that parking lot or walkways. The Department shall be copied on, and contemporaneously sent a copy of that notification letter.

3.6 Assistive Listening Devices
AMC shall purchase additional receivers for its assistive listening systems to equal four (4) percent of the total number of seats in each theater complex.

3.7 Specific Deviations at Twelve Theaters Inspected by the United States
Attached to this Order is Appendix A, identifying additional specific deviations at the twelve (12) theaters inspected by the United States. AMC shall remedy these deviations as agreed by the parties within twelve (12) months of the Effective Date of this Order, or as specified in paragraph 3.8.

3.8 Timing of Modifications. The modifications required to comply with subparagraphs 3.1 and 3.2, and any modifications required to be made relating to companion fixed seats in Appendix A or as determined by Paragraph 5, shall be made within 18 months of the entry of final judgment in this matter with respect to the Line-of-sight issue, at the time AMC relocates wheelchair spaces pursuant to said final judgment, or within the time frames specified in paragraph 4, whichever occurs later.

4. Surveys of All Remaining "Existing Theaters"

4.1 AMC shall hire one or more qualified architects with experience in accessibility issues to conduct full surveys of each of its remaining stadium-style movie theaters not fully surveyed by the United States. The architect(s) selected shall be mutually agreeable to the United States and AMC.

4.2 The selected architect(s) shall conduct surveys of all exterior areas (parking, accessible routes, ticket counters, etc.) and all interior spaces, including employee and common use areas. The selected architect(s) shall document and provide written reports of all deviations from the ADA Standards, which reports shall be provided to AMC and the United States simultaneously and without redaction. The documentation from the selected architect(s) shall include color photographs of all deviations. AMC may, as it deems necessary, hire other personnel to assist in these surveys.

4.3 AMC shall provide the United States with at least two weeks notice of the date each theater will be surveyed. The United States, at its option, may send a representative to observe any theater survey.

4.4 Within the first twelve (12) months after the Effective Date of this Order (Year One of this Order), AMC shall survey one-fourth of its Existing Theaters. Deviations, as determined by paragraph 5, shall be corrected and completed within Year Two of this Order or as specified in paragraph 3.8.

4.5 Within the second twelve (12) months after the Effective Date of this Order (Year Two of this Order), AMC shall survey another one-fourth of its Existing Theaters. Deviations, as determined by paragraph 5, shall be corrected and completed within Year Three of this Order, or as specified in paragraph 3.8.

4.6 Within the third twelve (12) months after the Effective Date of this Order (Year Three of this Order), AMC shall survey another one-fourth of its Existing Theaters. Deviations, as determined by paragraph 5, shall be corrected and completed within Year Four of this Order, or as specified in paragraph 3.8.

4.7 Within the fourth twelve (12) months after the Effective Date of this Order (Year Four of this Order), AMC shall survey its remaining Existing Theaters. Deviations, as determined by paragraph 5, shall be corrected and completed within Year Five of this Order, or as specified in paragraph 3.8.

5. Procedures for Review of Surveys

Upon the completion of each survey, the architect(s) shall provide detailed written reports to both parties listing all deviations from the ADA Standards found at each of AMC’s stadium-style movie theaters. As agreed between the parties, or at least quarterly, the parties shall meet or otherwise confer to review the reports and determine the deviations to be remedied by AMC. The parties shall execute a written joint stipulation listing those deviations to be remedied by AMC. In determining appropriate deviations to be remedied, the parties shall make those determinations consistent with the agreements reached with respect to the original twelve theaters. If, after 45 days of conferring regarding each survey the parties are unable to reach agreement on all issues, either party may seek enforcement through the provisions of paragraph 7.5 below.

6. Surveys of Future Stadium-Style Theaters

Each Future Theater that AMC acquires or opens after the effective date of this Order shall be surveyed within ninety (90) days of the start of operations. The procedures set forth in paragraphs 4.1 through 4.3 shall apply to such surveys. Deviations from the ADA Standards to be remedied for such theaters, as determined pursuant to paragraph 5, shall be completed within twelve (12) months of the survey or as specified in paragraph 3.8, whichever is later. In the event that AMC should acquire more than twenty (20) stadium-style theaters in a single transaction, it may survey and remedy deviations at those theaters on a prorated basis over the years remaining in the term of this Order.

7. Notice, Reporting, and Monitoring Requirements

7.1 Within sixty (60) days of the Effective Date of this Order, AMC shall provide written notice to the DOJ identifying the theater location(s) that will be surveyed in the first year. Within sixty (60) days prior to the end of each subsequent year, AMC shall provide written notice to the DOJ identifying the theater location(s) that will be surveyed in the following year.

7.2 AMC shall provide the DOJ with written documentation evidencing its completion of all corrective actions, as determined by paragraph 5 or appendix A, in sufficient detail for the DOJ to independently confirm that all work has been done in conformance with the parties' agreement. Such evidence may include, but is not limited to, color photographs, purchase orders, permits, and/or architectural drawings, if necessary. Evidence of all corrective actions shall be provided to the DOJ within thirty (30) days of the completion of work at each theater complex, or as otherwise agreed between the parties.

7.3 AMC shall provide the DOJ written notice not later than thirty (30) days of the opening or acquisition of any stadium-style movie theaters not operated by AMC as of the effective date of this Order.

7.4 Throughout the Term of this Order, the DOJ may, upon ten (10) days written notice to AMC, review compliance with this Order by sending representatives to inspect any AMC stadium-style theater covered by this Order. If the United States believes that AMC is not in compliance with this Order or any requirement contained herein, the United States agrees to notify AMC in writing of the alleged noncompliance and attempt to seek a resolution of the matter with Defendants. AMC shall have a reasonable period of time (not to exceed forty-five (45) days) in which to dispute or correct the noncompliance. At the end of forty-five (45) days, either party may seek enforcement through the provisions of paragraph 7.5 below.

7.5 If the parties are unable to reach a resolution of any issues covered by this Order, either party may seek appropriate relief from this Court. Failure by the United States to seek enforcement of this entire Order, or any provision thereof, with regard to any deadline or any other provision herein, shall not be construed as a waiver of the United States’ right to do so with regard to other deadlines and provisions of this Order. Any violation of this Order shall be considered a subsequent violation of the ADA.

7.6 All notices and reports required by this Consent Order shall be sent to the parties at the following addresses or to such other person as the parties may designate in writing in the future:

8. Miscellaneous

8.1 Entire Agreement
This Consent Order, any appendices attached, and any agreements reached pursuant to paragraph 5, constitutes the entire agreement between the parties on all issues relating to non-line-of-sight deviations from the ADA Standards at all of AMC's stadium-style movie theaters, and no other statement, promise, or agreement, either written or oral, made by any of the parties or agents of any of the parties, that is not contained in this written Consent Order or resulting from the provisions contained herein, shall be enforceable regarding the matters raised herein.

This Order is limited to all non-line-of-sight provisions of the ADA Standards, and does not in any way effect AMC's obligations to comply with the line-of-sight provisions of the ADA Standards, or any other Federal law. This Order does not affect AMC's continuing obligation to comply with all aspects of the ADA.

8.2 Public Document
This Consent Order is a public document. A copy of this document, and any information contained herein, may be made available to any person or entity. The United States and AMC shall provide a copy of this Order to any person or entity upon request.

8.3 Consent Order Binding on Parties and Successors in Interest
This Consent Order shall be binding on the United States; American Multi-Cinema, Inc.; AMC Entertainment Inc.; and the successors in interest of American Multi-Cinema, Inc. and/or AMC Entertainment Inc. American Multi-Cinema, Inc. and AMC Entertainment Inc. have a duty to so notify all such successors in interest of the existence and terms of this Consent Order.

If AMC sells, closes, or ceases operations at a particular theater covered by this Order, prior to the end of the five-year term of this Order, AMC shall notify the United States within 30 days and thereafter AMC shall have no further obligation to make modifications at that particular theater.

8.4 Term of the Consent Order
Except as set forth in this paragraph, the provisions of this Consent Order shall be in full force and effect for a period of five (5) years after its Effective Date. The Court shall retain jurisdiction of this action to enforce the Order during those five (5) years. Exception: With respect solely to the obligations set forth in subparagraphs 3.1, 3.2, and 3.8, and any modifications required to be made relating to companion fixed seats in Appendix A or as determined by Paragraph 5, if necessary, the Order shall extend, and the Court shall retain jurisdiction to enforce the obligations, up to 18 months after the entry of final judgment in this matter with respect to the Line-of-sight issue. Either party may move the Court to extend the duration of the Order in the interests of justice.

8.5 Severability
If any term of this Consent Order is determined by any court to be unenforceable, the other terms of this Consent Order shall nonetheless remain in full force and effect.

APPENDIX A

NON-LINE-OF-SIGHT VIOLATIONS OF THE ADA
AT THE TWELVE (12) AMC THEATERS REVIEWED BY THE UNITED STATES



AMC 24 Movie Theater - Barrett Commons - Kennesaw, GA

1. The cross slopes of the designated accessible parking spaces are greater than 1:50 (2 percent). Standards § 4.6.3.

2. The accessible route to the ticket counter at the front entrance has surface slopes greater than 5 percent, and therefore is a ramp without the requisite landings, handrails, etc. Standards §§ 4.3.7, 4.8.

3. The latch side, push side maneuvering clearance at auditorium entrance doors at Auditoriums #15 and #16 is less than the required 48 inches width. Standards § 4.13.6.

4. The plumbing valve coming down from the ceiling outside Auditorium #10 is a protruding object which projects more than 4 inches into the circulation corridor at a height between 27 inches and 80 inches above the finished floor. Standards § 4.4.1.

5. Wheelchair seating areas are less than the minimum 66 inches wide or 33 inches wide for a single wheelchair location in Auditoriums #2, 3, 9, 10, 11, 14, 15, 21 & 23. Standards § 4.33.2.

6. Handrails along all ramps in auditoriums are mounted such that the gap between the rail and the wall is greater than 11/2 inches. Standards § 4.8.5.

7. Ramps within the following auditoriums have a running slope greater than 1:12 or 8.33 percent: Auditorium 24 - central platform ramp. Standards § 4.8.2.

8. Directional signs indicating the designated accessible routes into and/or within auditoriums shall be provided for Auditoriums #1, 2, 6, 12, 13, 15, 16, 18, 19. Standards §§ 4.1.3(16)(b), 4.30.

9. In the Men’s Toilet Room near Auditorium #11, the ambulatory accessible stall width is not 36 inches and the stall door is not self-closing. Standards § 4.22.4.

10. In the Women’s Toilet Room near Auditorium #1, the ambulatory accessible stall width is not 36 inches and the stall door is not self-closing. Standards § 4.22.4.

9. The entrance to the theater through the food court, from the east side of the parking lot, where there is an “AMC/Food Court Entry” sign, has no designated accessible parking. Standards §§ 4.6.2, 4.1.2(5)(a).

10. There is an abrupt vertical level change greater than 1/4 inch in front of the curb ramp nearest the southwest corner of the building and directly along the pedestrian approach from the public sidewalk by PF Chang’s Restaurant. Standards § 4.5.2.

11. The highest operable portion of all the automatic ticket vending machines, the card slot, are higher than 54 inches above the finish floor for a side reach. Standards §§ 4.27.3, 4.2.6.

12. None of the pay phones in the banks of phones on the lobby side of the ticket booth are mounted no higher than 48 inches for a forward reach telephone required when there are 2 or more banks of phones on a given floor level. Standards § 4.1.3(17)(a).

13. There is no directional signage at banks of pay phones in the building, indicating the location of the nearest text telephone (TDD). Standards § 4.30.7(3).

14. The staff entry door to the east of the ticket booth has a door bell mounted higher than 54 inches above the finish floor for a side reach. Standards §§ 4.27.3, 4.2.6.

15. The movie poster case on the northeast corner of the ticket booth projects more than 4 inches from the wall and is mounted higher than 27 inches above the finish floor. Standards § 4.4.1.

16. All auditorium entry doors have a closing force greater than 5 lbf. Standards § 4.13.11.

17. The latch side, pull side maneuvering clearance at the entry and vestibule doors in Auditorium #3 is less than 18 inches. Standards § 4.13.6.

18. The gap between the handrails and the walls along the ramps in Auditorium #3 and Auditoriums #7 - 11 is greater than 1_ inches. Standards § 4.8.5.

19. In Auditoriums #1 and 6, companion fixed seats are vertically separated from each wheelchair seating location by two risers, and thus are not next to each wheelchair seating area. Standards § 4.33.3.

20. Directional signs indicating the designated accessible routes into and/or within auditoriums shall be provided for Auditoriums #3, 8, and 9. Standards §§ 4.1.3(16)(b), 4.30.

21. In Auditoriums #1, 2, 5 & 6, companion fixed seats are horizontally separated from each wheelchair seating area and thus are not next to each wheelchair seating area. Standards § 4.33.3.

22. In the Men’s Toilet Room near the Lobby Concessions Area, the wheelchair accessible stall toilet seat is not 17 to 19 inches above the finish floor. Standards § 4.16.3.

30. The auditorium signs at Auditoriums #4 and 5 are protruding objects that project more than 4 inches into the circulation path and their leading edges are between 27 inches and 80 inches above the finish floor. Standards § 4.4.1.

31. The stairs along the accessible route, public/common-use corridor, leading to the projection rooms for Auditoriums #1-3 create an abrupt level change greater than 1/2 inch. Standards § 4.3.8.

32. The shelf to the left of the southern concession stand projects more than 4 inches into the circulation path and its leading edge is between 27 inches and 80 inches above the finish floor. Standards § 4.4.1.

33. There is no visual fire alarm signal appliance for the landing area between the two escalators that terminate at the 3rd floor. Standards § 4.1.3(14).

34. Elevator #1, which runs between the 1st and 3rd floors, and Elevator #2, which runs between the 3rd floor and the 3rd floor mezzanine (3M), have no visual communication component to their audible emergency communication systems. Standards § 4.10.14.

35. The Employee Break Room door opening force is greater than 5 lbf. Standards § 4.13.11.

36. There is no visual alarm signal appliance in the Employee Break Room. Standards § 4.1.3(14).

37. In the Men’s Toilet Room near Auditorium #7, the wheelchair accessible stall toilet seat is not 17 to 19 inches above the finish floor. Standards § 4.16.3.

38. In the Men’s Toilet Room near Auditorium #7, the entry interior vestibule door opening force is greater than 5 lbf. Standards § 4.13.11.

39. In the Men’s Toilet Room near Auditorium #7, the end of the side portion of the “L-shaped” grab bar in the wheelchair accessible stall is less than 52 inches from the rear wall. Standards § 4.17.6.

40. In the Men’s Toilet Room near Auditorium #7, the main toilet paper roll in the wheelchair accessible stall is located more than 36 inches from the rear wall. Standards § 4.17.3, Figure 30(d).
